End User License Agreement

Please read this End User License Agreement ("Agreement") carefully before activating or using Kalonji ("Software"), provided by Kalonji 14 LLC ("Company," "we," "us," or "our"). By clicking "I Agree," completing checkout, or otherwise accessing the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software.

1. License Grant

Subject to your compliance with this Agreement and payment of all applicable fees, Kalonji 14 LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your personal or internal business purposes during the subscription term.

2. Restrictions

You may not:

Copy, modify, distribute, sell, or sublicense the Software or any portion of it
Reverse engineer, decompile, or disassemble the Software
Use the Software to build a competing product or service
Share your license key or account credentials with any third party
Use the Software in any manner that violates applicable law or LinkedIn's Terms of Service
Upload data belonging to another person without their authorization

3. Subscriptions and Billing

The Software is offered on a subscription basis. By completing checkout you authorize Kalonji 14 LLC to charge your payment method on a recurring monthly basis at the then-current subscription price (currently $39.99/month) after your 14-day free trial ends.

Trial period: Your 14-day free trial begins the first time you log in. No charge is made during the trial.
Renewal: Subscriptions renew automatically each month. You will be charged on the same date each month until you cancel.
Price changes: We will notify you at least 30 days before any price change takes effect.
Failed payments: If a payment fails, your access may be suspended. We will notify you and retry the charge per our dunning schedule.

4. Cancellation

You may cancel your subscription at any time through the billing portal at https://kalonji.app/billing.php or by contacting us at support@kalonji.app. Cancellation takes effect at the end of the current billing period. You will retain access until that date. No partial-month refunds are issued.

Upon cancellation, your account data is retained for 30 days to allow for reactivation, then permanently deleted.

5. Refunds

All fees are non-refundable except as required by applicable law or at our sole discretion. If you believe a charge was made in error, contact us within 30 days at support@kalonji.app.

6. Your Data

When you upload a LinkedIn data export, you grant Kalonji 14 LLC a limited license to process that data solely to provide the Software's features to you. We do not sell, rent, or share your data with third parties. Raw upload files are deleted from our servers within 24 hours of processing. Scored outputs that power your session are retained until your account is deleted. Our full Privacy Policy is available at https://kalonji.app/privacy.php.

7. AI-Driven Personalization

The Software uses third-party large-language-model (LLM) services to generate personalized content, including but not limited to: onboarding personalization, message drafts, contact briefs, campaign analyses, and trial outreach drafts. Specifically:

Limited, public LinkedIn profile information about your trial recipients may be sent to Anthropic, PBC, our LLM provider, for the sole purpose of generating personalized onboarding content and outreach drafts ("Trial Personalization Engine").
When you use AI features inside the Software (e.g., AI-drafted messages, contact briefs, campaign analyses), the relevant context (contact names, role, company, position, message history snippets, your free-form notes, and configuration data) is sent to Anthropic to compose the requested output.
Anthropic acts as a sub-processor under contract; per its data-use terms, content sent to its API is not used to train its public models.
You may disable AI features in Settings if you do not want any data sent to Anthropic. Without AI features, certain personalization affordances will be unavailable.

8. Intellectual Property

The Software, including all code, design, algorithms, and content, is owned exclusively by Kalonji 14 LLC and is protected by applicable intellectual property laws. This Agreement does not transfer any ownership rights to you.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, KALONJI 14 LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KALONJI 14 LLC'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID IN THE 3 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless Kalonji 14 LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Software, your violation of this Agreement, or your violation of any third party's rights.

12. Termination

We may suspend or terminate your access immediately if you breach this Agreement, if your payment fails and is not resolved, or if we discontinue the Software. Upon termination, your license ends immediately. Sections 6 through 13 survive termination.

13. Governing Law

This Agreement is governed by the laws of the State of Georgia, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Georgia. You consent to personal jurisdiction in those courts.

14. Changes to This Agreement

We may update this Agreement from time to time. We will notify you by email at least 14 days before any material change takes effect. Your continued use of the Software after the effective date constitutes acceptance of the updated Agreement.
